HEALTH COACHING PARTICIPATION AGREEMENT
By purchasing this online program, you agree to participate in a wellness program (the “Program”), with Tangerine 8, LLC operating as “Healthy With Nin” (the “Company” or “we/us”). This agreement automatically becomes a binding contract between you and the Company and applies to your participation in the Program. With your purchase, you acknowledge that you have read, agree to and accept all of the terms and conditions contained in this Agreement. We reserve the right to amend this Agreement at any time by sending you a revised version at the address you provided.
The investment to take part in the Program is:
- $250 USD + tax
With your purchase, you agree that you are responsible for full payment of fees for the entire course of the Program, regardless of whether you attend or complete the Program, and regardless of whether you have selected a lump sum or monthly payment plan.
We are committed to providing all Program participants with a positive Program experience. With your purchase, you agree that the Company may, at its sole discretion, terminate this agreement, and limit, suspend or terminate your participation in the Program without refund or forgiveness of remaining monthly payments if you become disruptive to the participants or difficult to work with or if you impair the participation of the Program instructor or participants in the Program. As a Participant of this Program, and with your purchase, you acknowledge that you have access to the following:
(1) 4 months of access to the Healthy With Nin All-Day Energy BlueprintTM Online Portal with all the step-by-step training videos, weekly homework and PDF resources to help you overcome fatigue, rebalance hormone and gut health and slim down.
(2) Lifetime inclusion in our Healthy With Nin private Facebook group for 24/7 support and access to extra resources, meeting recaps, and on-demand coaching.
(3) Monthly group check-ins (1 hour each) with your Coach for the duration of your Program.
(4) Functional medicine lab testing/consultations (optional)
We respect your privacy. With your purchase, you agree not to violate the publicity or privacy rights of the Company. We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively “Confidential Information”) and must insist that you respect the same rights of the Company.
With your purchase, you agree (1) to not infringe upon the Company’s copyright, patent, trademark, trade secret, or any other intellectual property rights, (2) that in any Confidential Information shared by any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Participant who discloses it or the Company, (3) you agree not to disclose such information to any other person or use it any manner other than in discussion during program sessions.
With your purchase, you further agree that (4) all materials and information provided to you by the Company are its confidential and proprietary intellectual property belonging solely and exclusively to the Company and may only be used by you as authorized by the Company, and (5) the reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited. Further, with your purchase, you agree that, if you violate, or display any likelihood of violating any of your agreements contained in this paragraph the Company will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations. The laws applicable to this agreement will be the laws of Arizona, and the parties agree to “attorn” to the exclusive jurisdiction of Arizona Courts to finally adjudicate and determine any such dispute both before and after the termination of this Agreement.
With your purchase, you further agree that (6) the Company has the right to use case studies of your results, shared photos and testimonials in future work but without referring to your full identity.
With your purchase, you further agree that (7) the Company does not diagnose, solve medical issues nor treat disease and is therefore not a replacement for your medical doctor, therapist, or physician. Further, you release the Company, its independent representatives, associates and affiliates from any and all liability for any failure to identify any medical condition or disease. It is understood and agreed that this is not the purpose of their natural health services. If you are presently under any form of psychiatric care, psychological therapy, specialized medical supervision or under the influence of any form of medication, you are to inform the Company prior to working together.
With your purchase, you further agree that (8) you hereby waive, release and forever discharge and hold harmless the Company, its trainers, officers, agents, and employees from any and all responsibility, liability, cost and expenses, including injuries or damages, resulting from your participation in any fitness activities, or your use of any programs designed by the Company.
With your purchase, you hereby further declare (9) yourself to be physically sound and suffering from no condition, impairment, disease, infirmity or other illness that would affect nutrient metabolism or prevent your participation or use of equipment or machinery except as hereinafter stated. You acknowledge that the Company has recommended that you have a yearly or more frequent physical examination and consultation with your physician as to physical activity, exercise and use of exercise and training equipment so that you might have his/her recommendations concerning these fitness activities and equipment use. You acknowledge that you have either had a physical examination and been given your physician’s permission to participate, or that you have decided to participate in activity and use of equipment, machinery, and programs designed by the Company without the approval of your physician and do hereby assume all responsibility for your participation and activities, and utilization of equipment and machinery in your activities.
In addition, with your purchase, you hereby represent and warrant that (10) you are currently covered by an accident and health insurance policy.
We have made every effort to accurately represent the program and its potential. Each individual’s success depends on many factors, including his or her willingness to do the work, get the necessary support, and desire to succeed. You assume 100% responsibility for your results.
